Access to all government systems is more difficult during periods of peak use, and as a result, we are not responsible for any delays which may be caused due to our difficulty in accessing any government systems. The most difficult time to access the Florida Secretary of State's system is in the days including and immediately preceding May 1 of each year. Under current law, Annual Reports for Florida Corporations and Annual Reports for Florida Limited Liability Companies must be filed with the Florida Secretary of State on or before May 1 of each year in order to avoid substantial late filing penalties and the risk of dissolution of any late-filing corporation or limited liability company. Because it is more time intensive to complete filings and confirm filings with the Florida Secretary of State during peak periods, our fees for processing any Annual Reports first submitted to us for filing between April 25 and April 28, inclusive, incur a "Last-Minute Filing Surcharge" of $50, and any Annual Reports first submitted to us for filing between April 29 and May 1, inclusive, are subject to an "Emergency Filing Surcharge" of $75. It is impossible to guarantee that Annual Reports submitted to us for filing with the Florida Secretary of State after April 28 of any year will be timely filed; we will, however, use our best efforts to assure timely filing. The "Last-Minute Filing Surcharge" and "Emergency Filing Surcharge" are non-refundable, as long as we make a good-faith effort to timely complete these filings with the Florida Secretary of State on your behalf.

Florida Paralegals™ shall not be liable for any losses caused by reliance on the accuracy, reliability, or timeliness of any information contained in the records of the Florida Secretary of State or other state or federal governmental agencies or entities nor for any errors or inaccuracies in the information which you submit to us or which we transmit and/or submit on your behalf to the Florida Secretary of State or other state or federal governmental agencies or entities. While we pride ourselves on the accuracy of the information we transmit on your behalf, all persons who use our system to obtain information or complete filings with the Florida Secretary of State or other state or federal governmental agencies or entities do so at their own risk. All users of our service expressly agree that Florida Paralegals™ will not be liable or responsible for any direct, indirect, consequential, compensatory, punitive, or other damages, delays, or inconveniences caused by the use of our services. Under all circumstances, the liability of Florida Paralegals™ is limited to a maximum of (i) the amount paid to us by the user for our services and (ii) any unexpended filing or governmental fees received by us.

Florida Paralegals™ Refund Policy

If an order is cancelled after payment has been made by the client but before a research, name availability search, or investigation has been completed, Florida Paralegals™ will refund to the client the total order amount less a $30 processing fee.

If the order is cancelled after a research, name availability search, or investigation has been completed but before the filing document has been created, Florida Paralegals™ will refund to the client the total order amount less a $60 processing fee.

If the order is cancelled after the filing document is created, Florida Paralegals™ will refund the total amount of the order less a $90 processing fee provided that the filing document is not already filed with the appropriate governmental agency.

Money paid to Florida Paralegals™ that has already been paid to the government for filing fees or to suppliers is not refundable.

A $30 fee will be added to all checks returned to Florida Paralegals™ due to non-sufficient funds or closed accounts. In addition, a bank service fee will be charged on these checks.
